Corporate and commercial law

How we help

Setting up and transforming companies

We help you choose the legal form and prepare the full set of corporate documents needed to set up a company. We handle, among other things, mergers, divisions and transformations of companies, including the transformation of a sole proprietorship into a single-shareholder company.

Support for company bodies

We prepare all corporate documents, including resolutions, documents for shareholders’ meetings and supervisory board meetings, and filings with the National Court Register (KRS). We advise management boards on liability and on the risks of their decisions.

Commercial and distribution agreements

We draft and negotiate supply, distribution, agency, cooperation and non-disclosure agreements (NDAs) as well as general terms and conditions. In contracts with foreign partners we pay particular attention to the governing law, jurisdiction and the language of the contract.

Share deals

We support buyers and sellers of shares: due diligence of the company, the share purchase agreement, investment agreements and shareholders’ agreements.

Shareholder relations

We prepare shareholders’ agreements, exit rules and deadlock mechanisms. Where a conflict is already under way, we look for an agreement and, if that proves impossible, we conduct the dispute.

Ongoing legal support (outsourcing)

We take over your company’s day-to-day legal work: reviewing contracts, supporting your departments, dealing with authorities and business partners. Billing is based on an agreed fixed fee or a set number of hours.

Legal advice

We provide comprehensive advice on the day-to-day legal matters of companies, sole traders and private individuals. This covers in particular civil law, the law of obligations, property law, inheritance and family law, employment and social security law, administrative law and procedure, construction law, spatial planning, private and public commercial law, company law, environmental law, real estate (including commercial real estate), cooperative and housing law, public procurement, insolvency and restructuring, consumer law, intellectual and industrial property, new technologies and GDPR, banking, insurance, capital markets, energy law, IT and cybersecurity, criminal law, medical and pharmaceutical law, competition (antitrust) law and EU law.

Who we work for

  • Small and medium-sized companies and their management boards.
  • Companies with foreign capital operating in Poland.
  • Entrepreneurs who are growing their business and planning a change of legal form.
  • Investors entering or leaving a company.
  • Private individuals.

How ongoing support works

  1. A conversation about your company’s profile and typical legal matters.
  2. A proposed billing model: a monthly fixed fee with no hourly limit, a monthly fixed fee with an hourly limit, or an hourly rate.
  3. A legal services agreement.
  4. A dedicated lawyer at the firm who knows your business and is responsible for contact.
